Question posted in the Intellectual Property Law category relating to Gauteng
I entered a partnership 2022 April with two other individuals. At the time they had to contribute money and I had to provide the IP. I initially asked not to be included on the documents at CIPC. This was due to me having to liquidate a previous business and still having debts to pay on such. We then entered into a gentleman's agreement. This was later put in writing and emailed to us as partners.
We never got to sign the documents. IN the mean time the one partner sold off his shares to an outsider. The documents raised from that sale was only signed by the new partner and the new partner. Thus excluding me from any and all negotiations.
The new partner has since dismissed me as a service provider and declared that I do not have any shares in the business due to the documents not being signed.
The trust is obviously now broken, I want out of the partnership and just want to be paid what is fair. 20% of the value of the business and all its assets. As well as the machinery of which 20% is supposed to belong to me.
