Question posted in the General Law category relating to Mpumalanga

The matter is of Company Law, the relationship between myself and my partner went sour, each had a 50% share in the Company. (Pty Ltd) While a shareholder and director he established a new company during July 2014, he indicated that he would left the services of our Company by end Oct 2014. When he left he took amongst other Company equipment also the Laptop with all the records of our service interactions. We have agreed to a financial settlement as individuals. His attorney has also requested for a full and comprehensive Indemnity clause which the company and myself must sign too, my understanding is that a director remains liable for the period when he was in service for "'ever and ever", hence I have not signed on behalf of the Company. My question is , how do I get the laptop and company information back while the issue of a sales agreement is delaying final resignation and transfer of shares. My lawyer is of the opinion that I should sign the sales agreement and take the risk of liability claims which may / may not arise.
